01Parties and scope
These Merchant Terms apply between the registered MHERC operator identified in the Terms and Conditions and the establishment named in an accepted merchant enrollment (“Merchant”, “you”). Your authorized representative must review and accept the applicable terms and offer schedule.
They cover merchant listing, member benefits and any optional paid services. The general Terms and Conditions also apply. An accepted order or campaign agreement specifies its own scope, price and delivery commitments, subject to mandatory law.
02Enrollment and business information
Provide accurate business, branch, contact and authorized-representative details, together with permits or other verification reasonably required for your activities. Keep listings, operating hours and offer information current and notify MHERC of material changes.
Acceptance into the program does not replace your licenses, regulatory obligations or responsibility for your business operations. MHERC may decline or remove listings for unlawful goods, misleading claims or material verification failures, with an explanation where appropriate.
03Free partnership and member offers
Free partnership is available to accepted merchants that provide agreed fixed discounts to eligible MHERC members. A free listing does not include paid merchant tools or voucher services unless expressly offered.
- Record the discount, eligible products or services, covered branches, validity dates and exclusions in the offer schedule.
- Disclose minimum spending, redemption limits and any combining restrictions before a member commits to a purchase.
- Train staff to recognize valid membership and apply the published benefit consistently.
- Do not add undisclosed charges to offset the benefit or remove discounts required by law.
Notify MHERC before changing or withdrawing an offer. Honor transactions already accepted under its applicable terms, subject to law and any agreed correction process.
04Optional Merchant Package
The Merchant Package is PHP 5,000 per year, with annual renewal at PHP 5,000 under the current offer. The order confirmation must state the activation date, term, total price, included services and any separately priced work. Renewal requires authorization.
The package provides access to available merchant tools such as loyalty points, basic inventory and voucher functions, within the scope disclosed at enrollment. Only released and expressly included services are committed. Any additional capacity, integration or professional service requires a separate agreement.
Paid status may provide access to media opportunities or discounted promotional rates. Specific airtime, features, audience size or sales results are not guaranteed unless an accepted campaign agreement expressly commits a deliverable.
05Tool use and business records
Use merchant tools only for your authorized operations. Assign access to appropriate staff, protect credentials, review entries and keep necessary business backups. You remain responsible for the accuracy of uploaded products, prices, inventory and reward rules.
Basic software tools support operations; they do not replace your professional accounting, tax, legal or regulatory responsibilities. Report errors promptly. MHERC remains responsible for any service obligations it has expressly accepted and liabilities imposed by law.
06Customers, rewards and complaints
You supply the goods or services and handle receipts, fulfillment, product claims and applicable refunds or remedies. Resolve member complaints fairly and cooperate with MHERC when a benefit or program transaction is disputed.
For merchant-funded points, vouchers or rewards, an accepted reward schedule must identify who funds and honors the benefit, its redemption terms, expiry rules and treatment when the partnership ends. Do not launch such an offer without those details. A disputed or erroneous entry should be investigated before adjustment, with an explanation to the affected member.
07Personal data and confidentiality
Use member information only for the transaction or other disclosed, lawful purpose. Do not export or use membership details for unsolicited marketing without an appropriate legal basis. Give access only to authorized staff and use suitable safeguards.
Each party must meet its own privacy obligations. If one party processes data on the other’s instructions, the parties must document the processing terms before it begins. Promptly notify MHERC of an incident involving shared program information so applicable response and notification duties can be addressed. Protect confidential commercial and account information during and after participation.
08Brand listings and media promotions
You grant MHERC a non-exclusive permission, for the partnership’s duration, to display the approved business name, logo and supplied offer material to identify and promote your participation. You confirm you have the rights needed to supply that material. MHERC must not materially misrepresent your business.
Use MHERC branding only in approved forms and do not imply a broader endorsement. A separate media booking should specify deliverables, schedule, approvals, content rights, fees and cancellation arrangements. Secure necessary permissions for people, music and other protected material included in your submissions.
09Suspension, exit and renewal
Either party may request an orderly end to the partnership by written notice. Paid services run for the agreed term unless ended under the accepted cancellation provisions or applicable law. Material breaches should receive notice and a reasonable opportunity to respond or correct them where appropriate; immediate restrictions may be necessary for fraud, safety or security.
On exit, stop presenting new offers as an active MHERC partner, settle valid obligations and coordinate the handling of outstanding member benefits. Agree any available data export and retention steps before tool access ends. Do not assume exit automatically cancels earned rewards, refunds or existing customer commitments.
10Liability, disputes and contact
No minimum customer volume, turnover or commercial success is promised. Each party remains accountable for its conduct and accepted commitments. Nothing here removes mandatory consumer remedies or excludes liability that cannot lawfully be excluded.
Philippine law applies. Raise concerns through rc@mhe.com.ph, identifying the merchant account, relevant offer and supporting records. Attempts to resolve a concern directly do not limit access to a competent regulator or court.
